In the interpretation of this By-law, unless the context otherwise requires, the following rules shall apply:</p>
                                        <div className="space16" />
                                            <ul data-aos="fade-left" data-aos-duration={1000}>
                                                <li><img src="/assets/img/icons/check2.svg" alt="" />“Act” means the Not-for-Profit Corporations Act, 2010 (Ontario) and, where the context requires, includes the regulations made under it, as amended or re-enacted from time to time.</li>
                                                <li><img src="/assets/img/icons/check2.svg" alt="" />“Board” means the board of directors of the Corporation.</li>
                                                <li><img src="/assets/img/icons/check2.svg" alt="" />“By-laws” means this by-law (including the schedules to this by-law) and all other by-laws of the Corporation as amended and which are, from time to time, in force and effect.</li>
                                                <li><img src="/assets/img/icons/check2.svg" alt="" />“Chair” means the chair of the Board.</li>
                                                <li><img src="/assets/img/icons/check2.svg" alt="" />“Corporation” means the corporation that has passed these by-laws under the Actor that is deemed to have passed these by-laws under the Act.</li>
                                                 <li><img src="/assets/img/icons/check2.svg" alt="" />“Association” means the Corporation in this context.</li>
                                                 <li><img src="/assets/img/icons/check2.svg" alt="" />This Association shall be named and called ”TAMIL CULTURAL ASSOCIATION OF WATERLOO REGION”. Abbreviation: TCAWR or TCA.</li>
                                                 <li><img src="/assets/img/icons/check2.svg" alt="" />“President” or “Secretary “or “Treasurer” means an individual occupying the Office of the Corporation by whatever name he or she is called.</li>
                                                 <li><img src="/assets/img/icons/check2.svg" alt="" />“Vice President” or “Assistant Secretary” or “Joint Treasurer” means an individual occupying the Office of the Corporation by whatever name he or she is called.</li>
                                                 <li><img src="/assets/img/icons/check2.svg" alt="" />“Committee Member” or “Volunteer Committee Member” means an individual occupying the position of the board by whatever name he or she is called.</li>
                                                 <li><img src="/assets/img/icons/check2.svg" alt="" />“Member” means a member of the Corporation.</li>
                                                 <li><img src="/assets/img/icons/check2.svg" alt="" />“Members” means the collective membership of the Corporation; and</li>
                                                 <li><img src="/assets/img/icons/check2.svg" alt="" />“Officer” means an officer of the Corporation.</li>

                                    <h3>1.2&nbsp;&nbsp; INTERPRETATION</h3>
                                     <br /><br />
                                    <p data-aos="fade-left" data-aos-duration={900}> 
Other than as specified in Section 1.1, all terms contained in this By-law that are defined in the Act shall have the meanings given to such terms in the Act. Words importing the singular include the plural and vice versa, and words importing one gender include all genders.</p>

                                    <p data-aos="fade-left" data-aos-duration={900}> 
Unless specified in these constitution/by-laws, the organization will be governed by the requirements outlined in the Ontario Not-For-Profit Act.</p><br/><br/></div>

                                    <h3>1.3&nbsp;&nbsp;  SEVERABILITY AND PRECEDENCE</h3>
                                    <br /><br />
                                    <p data-aos="fade-left" data-aos-duration={900}> 
The invalidity or unenforceability of any provision of this By-law shall not affect the validity or enforceability of the remaining provisions of this By-law. If any of the provisions contained in the By-laws are inconsistent with those contained in the articles or the Act, the provisions contained in the articles or the Act, as the case may be, shall prevail.</p>

                                    <div>
                                      <h3>1.4&nbsp;&nbsp; SEAL AND LOGO</h3>  
                                      <br /><br />
                                      <p data-aos="fade-left" data-aos-duration={900}> 
The Association may have a corporate seal in the form approved from time to time by the board.  If a corporate seal is approved by the board, the secretary of the corporation shall be the custodian of the corporate seal.</p>
                                      <br /><br />
                                       <p data-aos="fade-left" data-aos-duration={900}>The Association owns the copyright to the logo and have right to use the logo as part of its branding and marketing.</p>

                                    </div>
                                    <div>
                                        <h3>1.5&nbsp;&nbsp; EXECUTION OF DOCUMENTS</h3> 
                                         <br/><br/>
                                        <p data-aos="fade-left" data-aos-duration={900}>The board's written approval (minutes) is required in executing any documents on behalf of the corporation. Deeds, transfers, assignments, contracts, obligations and other instruments in writing requiring execution by the Corporation may be signed by any two of its Executive Officers (President, Secretary or Treasurer) . In addition, the Board may from time to time direct the manner in which and the person by whom a particular document or type of document shall be executed. Any person authorized to sign any document may affix the seal or logo to the document – if required. Any Executive Officers or the Auditor (only for financials) may certify a copy of any instrument, resolution, By-law or other document of the Corporation to be a true copy thereof.</p>
